Definitions

As used in these Terms:

• "WeOps™" means the operations intelligence product and brand owned by BeeGrowth Co., Ltd.
• "Website" means weops.vn and all related marketing pages.
• "Service" means the WeOps™ platform application accessible at app.weops.vn, including all features, integrations, connectors, and related services provided under a service order or subscription.
• "Customer" means the business entity that has entered into a service order or agreement with BeeGrowth Co., Ltd. to access the Service.
• "User" means an individual authorised by the Customer to access the Service under the Customer's account.
• "Customer Data" means the operational and business data that the Customer or its Users submit, upload, or connect to the Service.
• "Service Order" means a signed order form, subscription agreement, statement of work, or equivalent document specifying the scope, pricing, and terms of a Customer's engagement with BeeGrowth Co., Ltd.

Acceptance of terms

By visiting the Website or using the Service, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. Customers also agree to our Data Processing Policy in relation to Customer Data. We may update these Terms from time to time; continued use after updates constitutes acceptance of the revised Terms.

About WeOps™

WeOps™ is a fashion-first operations intelligence product developed and operated by BeeGrowth Co., Ltd. The Website is our marketing and information presence. The Service is a SaaS platform for business customers that provides sell-through analysis, SKU intelligence, operating records, and related operational decision-support features.

Website use

The Website and its content — including text, product descriptions, methodology documentation, case studies, visuals, and illustrations — are provided for general product information and educational purposes. Content is subject to change without notice.

You may browse the Website for lawful, personal, and non-commercial informational purposes. You must not copy, scrape, republish, or frame Website content without our prior written permission.

Accounts and access

Access to the Service requires a Customer account established under a Service Order. Customers are responsible for:

• Maintaining the confidentiality of account credentials
• Managing User access and ensuring Users comply with these Terms
• All activity that occurs under the Customer's account
• Promptly notifying us if account credentials are compromised

We reserve the right to suspend or terminate accounts that violate these Terms or applicable Service Orders.

Customer data

The Customer retains ownership of Customer Data. By connecting or submitting Customer Data to the Service, the Customer grants BeeGrowth Co., Ltd. a limited right to process Customer Data solely to provide, maintain, secure, support, and improve the Service, as further described in our Data Processing Policy.

The Customer is responsible for ensuring that all Customer Data submitted to the Service is accurate, lawfully obtained, and that the Customer has the right to connect and share that data. WeOps™ does not verify the accuracy or legality of Customer Data.

Paid service and service orders

Access to the Service is subject to a Service Order that specifies pricing, scope, term, and payment terms. Service Orders are binding upon execution.

Unless otherwise stated in the applicable Service Order:

• Fees are due in accordance with the payment schedule in the Service Order
• Service access may be suspended for non-payment after reasonable notice
• The Service is provided in Vietnamese Dong (VND) unless otherwise agreed

Where a Service Order conflicts with these Terms, the Service Order controls for the specific matters it covers.

Permitted use and prohibited conduct

You must not, in relation to the Website or the Service:

• Use the Website or Service for any unlawful purpose
• Attempt to gain unauthorised access to any part of the Website, Service, or underlying infrastructure
• Copy, reproduce, scrape, reverse-engineer, decompile, or disassemble any part of the Website or Service
• Use automated tools to extract content from the Website or circumvent usage limits on the Service
• Upload, connect, or submit data that infringes third-party rights or violates applicable law
• Interfere with or disrupt the integrity or performance of the Website or Service
• Resell, sublicense, or make the Service available to third parties without our written consent

Intellectual property

All intellectual property rights in the Website, the Service, the WeOps™ brand, product designs, product concepts, methodology, technology, and content are owned by or licensed to BeeGrowth Co., Ltd. All rights reserved.

Nothing in these Terms grants you any licence or right to use WeOps™ intellectual property beyond what is strictly necessary to use the Service as authorised under a Service Order.

Trademarks

WeOps™ is a trademark and brand mark used by BeeGrowth Co., Ltd. You must not use the WeOps™ name, logo, or brand assets without our prior written consent. Unauthorised use of our trademarks is prohibited.

Third-party services

The Service may integrate with or link to third-party platforms including POS systems, ecommerce platforms, and marketplaces. We do not control, endorse, or accept responsibility for the accuracy, availability, or practices of third-party services. Customers are responsible for their use of and compliance with third-party platforms.

No professional advice

The Website content and Service outputs are for general product, information, and operational decision-support purposes only. They do not constitute legal, financial, accounting, or any other form of professional advice. You should seek independent professional advice before making decisions based on content from the Website or outputs from the Service.

Disclaimers

The Website and Service are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that outputs will be accurate or complete.

Limitation of liability

To the fullest extent permitted by applicable law, BeeGrowth Co., Ltd. and WeOps™ shall not be liable for any indirect, incidental, consequential, punitive, or special damages arising from use of or inability to use the Website or Service, even if advised of the possibility of such damages.

In no event shall our total liability to a Customer exceed the amounts paid by that Customer under the applicable Service Order in the three (3) months immediately preceding the event giving rise to the claim. This limitation does not apply to liability for death or personal injury caused by our gross negligence.

Termination

Either party may terminate a Service Order in accordance with its terms. We may suspend or terminate access to the Service immediately if a Customer or User violates these Terms, applicable law, or any Service Order.

Upon termination, the Customer's right to access the Service ends. Data handling post- termination is governed by the applicable Service Order and our Data Processing Policy.

Changes to the website and service

We may modify, suspend, or discontinue any part of the Website or Service at any time. For paid Service features, material changes will be communicated to Customers with reasonable notice where feasible.

Governing law

These Terms are governed by and construed in accordance with the laws of Vietnam. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Vietnam.
